Audax Renovables includes Anabel López and Rosa González to its board

The incorporation of the new female Directors demonstrates the Group’s firm commitment to best practices in corporate governance.

Audax Renovables (ADX.MC), the energy group that integrates the businesses of generation and supplying of 100% renewable electricity and gas, has reconfigured and strengthened its Board of Directors by adding two women to its highest governing body. The Board of Directors of Audax Renovables has unanimously approved the appointment of two new female directors, Anabel López Porta and Rosa González Sans, for the next four years.

The incorporation of female talent is in line with best practice in corporate governance and is reflected in the new structure and composition of the Board of Directors.

Anabel López, graduated in Law from the University of Barcelona and PDG from IESE Business School with more than 16 years of experience in the renewable energy sector and capital markets, is currently responsible for the generation portfolio of the Audax Group and is also a member of the Board of Directors of various subsidiaries of the Audax Group. She began her professional career at Grupo Godó in 1995, working in the finance and controlling departments. In 2004 she joined Fersa Energías Renovables, and assumed the general management in 2015, fully managing the group’s sale operation that culminated in a takeover bid process by Audax Energía, S.A. and participating directly in the reverse merger operation, resulting in the Audax Renovables Group. She has also recently been appointed member of the Board of Directors and of the Audit and Compliance Committee of Grupo Ezentis, S.A. in representation of Eléctrica Nuriel, a company wholly owned by José Elías.

Rosa González, with more than 12 years of experience in the energy sector and, specifically, in the supplying of energy, was a founding partner of Mediaworks, S.A., an advertising media centre, for 11 years, joining the Audax Energía energy group since its inception. Throughout her career in the Audax group, she has held positions of responsibility related to the financial and human resources areas, which has given her a transversal vision of the business. Reporting directly to the Chairman of the Group, José Elías, she has participated in various corporate operations of the company and, specifically, at international level, leading the development and expansion in 2016 and 2017 of the Audax Group in Italy as General Manager of this subsidiary until 2018. She is also currently a member of the Board of Directors of several subsidiaries of the Audax Renovables Group.

With the new female directors, there are now two women on the highest governing body of Audax Renovables, which from now on will have six (6) members. Following this reshuffle, the presence of women now stands at 33%, exceeding the 30% target set for 2020, and approaching the 40% target set for 2022, following the recent review of the Good Governance Code.

In addition, the composition of the Board of Directors demonstrates its commitment to follow the recommendations of the Good Governance Code for listed companies published by the Spanish National Securities Market Commission (CNMV) in relation to diversity, both in terms of training and experience, and gender (female directors represent 33% of the total number of board members), and independence (independent directors represent 33% of the total number of board members), which translates into a balanced body focused on the common purpose of promoting the company’s corporate interest through the active contribution of value by all its members.

The appointments of the new female directors also entail changes in the various board committees, as Anabel López also becomes a member of the Audit Committee and a member of the Appointments and Remuneration Committee.

It should also be noted that the Board has an independent coordinating director, as the chairman of the administrative body is an executive director, with all the functions postulated by the Corporate Good Governance Code for this figure. Likewise, all the consultative committees of the board are mainly composed and chaired by independent directors.

According to José Elías statements, Chairman of the Board of Directors, “with the incorporation of Rosa González and Anabel López to the Board, we will have a greater diversity of knowledge, skills and experience, which will have a positive influence on the efficiency of the Board and the quality of its decisions”.

The Audax Group, which defines itself as an integrated energy company with 100% renewable generation, announced a few weeks ago a change in its strategy, focusing its efforts and resources on the energy generation activity and is also preparing a new strategic plan that will be announced shortly to the market.
